These Terms of Service ("Terms") govern your access to and use of GoFunnel, including our websites, web applications, Chrome extensions, APIs, tracking technologies, artificial-intelligence features, automation tools, integrations, analytics, messaging functionality, GoFunnel Texts, and any related products or services (collectively, the "Services").
By clicking to accept these Terms, creating or maintaining an account, accessing the Services, or using the Services, you agree to be legally bound by these Terms and our Privacy Policy.
If you use SMS, MMS, or other messaging functionality through GoFunnel, your use is also subject to the GoFunnel SMS Messaging Compliance Agreement & Attestation, which is incorporated into these Terms by reference.
If you do not agree to these Terms, you may not access or use the Services.
If you accept these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity, and references to "you" and "your" include that entity.
GoFunnel provides software and technology for sales tracking, lead management, attribution, analytics, artificial intelligence, automation, communications, integrations, data orchestration, call intelligence, customer relationship management workflows, form capture, messaging, and related business operations.
Features may include integrations with services such as GoHighLevel, Close, HubSpot, Typeform, Calendly, Stripe, Shopify, Zoom, Fathom, advertising platforms, communications providers, and other third-party services.
GoFunnel may add, modify, restrict, suspend, replace, or discontinue all or any part of the Services at any time.
Except to the extent expressly agreed in a separate written agreement signed by GoFunnel, GoFunnel does not guarantee the continued availability of any feature, integration, model, provider, telecommunications channel, API, workflow, telephone number, or third-party service.
To use certain Services, you must create an account.

You are responsible for configuring appropriate permissions for your users.
GoFunnel may rely on instructions, configurations, approvals, imports, campaign settings, workflows, and other actions performed through your account as authorized instructions from you.
You control how you configure and use the Services.

The availability of a feature does not constitute a representation by GoFunnel that your particular use of that feature is lawful.
You may not use or permit use of the Services to:
GoFunnel may impose additional restrictions when necessary to comply with law, carrier requirements, platform policies, security requirements, or third-party obligations.
If you use GoFunnel to transmit SMS, MMS, or other electronic communications, you agree to comply with the SMS Messaging Compliance Agreement & Attestation.
Without limiting that agreement, you are responsible for:
GoFunnel may block, filter, throttle, suspend, quarantine, reject, or terminate messaging activity that GoFunnel or an underlying provider determines may violate law, carrier requirements, industry standards, these Terms, or the SMS Messaging Compliance Agreement.
The Services may contain generative artificial intelligence, large-language models, machine learning, automated classifications, lead scoring, message generation, suggested responses, automated responses, summaries, recommendations, workflow generation, field mapping, audience suggestions, call analysis, and other artificial-intelligence or automated functionality ("AI Features").
AI Features may produce inaccurate, incomplete, misleading, offensive, duplicative, outdated, non-unique, or inappropriate results.
GoFunnel does not warrant that AI-generated output:
AI Features do not constitute legal, financial, regulatory, compliance, medical, or other professional advice.
You are responsible for reviewing and evaluating AI-generated output before relying on it where appropriate.
If you configure an AI Feature, workflow, agent, sequence, or automation to take actions or transmit communications without contemporaneous human review, you authorize those actions in advance subject to the configuration and instructions you provide.
You remain responsible for the configuration, recipients, instructions, safeguards, content, and use of such automation.
Use of an AI Feature does not transfer your legal or compliance obligations to GoFunnel.
The Services may integrate with third-party applications, data providers, CRMs, communications providers, payment processors, advertising platforms, artificial-intelligence providers, analytics providers, and other third-party services.
Your use of third-party services may be subject to separate terms and privacy policies.
You authorize GoFunnel to access, process, transmit, and synchronize information between your GoFunnel account and third-party services that you connect, to the extent necessary to provide the functionality you enable.
GoFunnel is not responsible for:
GoFunnel uses YouTube API Services.
If you connect a YouTube channel, you agree to the YouTube Terms of Service, and Google's handling of your information is governed by the Google Privacy Policy.
You retain your ownership rights in data you submit to the Services ("Customer Data").
You grant GoFunnel and its service providers a limited, worldwide right to host, copy, transmit, process, transform, analyze, display, and otherwise use Customer Data as reasonably necessary to:

Depending on the data involved, GoFunnel may act as a controller or processor.
Where GoFunnel processes personal information on your behalf, you are responsible for determining whether you require a Data Processing Agreement and for complying with your obligations as controller or business.
You are responsible for ensuring that your own privacy notices accurately disclose your use of GoFunnel where required by law.
Telephone numbers, sender identities, campaign registrations, or other telecommunications resources made available through the Services may be provisioned through third parties.
Unless expressly stated otherwise, use of a telephone number does not transfer ownership of that number to you.
Numbers, sender identities, campaigns, or messaging routes may be:
by GoFunnel, a carrier, registrar, telecommunications provider, regulator, or other applicable third party.
GoFunnel does not guarantee permanent access to any telephone number, registration, sender identity, carrier route, or messaging capability.
GoFunnel does not guarantee transmission, delivery, receipt, display, throughput, delivery time, or successful routing of any message or communication.
Messages may be filtered, delayed, rejected, blocked, throttled, rerouted, or otherwise affected by:
GoFunnel is not liable for failed, delayed, blocked, filtered, throttled, rejected, or undelivered communications except to the extent such liability cannot lawfully be excluded.
GoFunnel may, but is not obligated to, monitor account activity, message metadata, message content, workflows, campaigns, imports, complaint rates, opt-outs, and other activity where reasonably necessary to:
You agree to reasonably cooperate with compliance investigations.
GoFunnel may request evidence including:
You must provide requested compliance records promptly.
Failure to cooperate may result in suspension or termination.
GoFunnel may immediately suspend, restrict, throttle, quarantine, or terminate all or any portion of the Services if GoFunnel reasonably believes:
GoFunnel is not liable for good-faith suspension or restriction under this Section.
You may stop using the Services at any time.
Termination does not relieve you from obligations incurred before termination.
You agree to pay all fees associated with your account, plan, usage, messaging, registrations, telephone numbers, integrations, and other Services.
Usage calculations maintained by GoFunnel or its applicable providers will control absent manifest error.
Except where otherwise expressly agreed in writing or required by law, all fees are non-refundable.
You remain responsible for amounts incurred before suspension, cancellation, or termination.
You are responsible for fees, surcharges, registration fees, carrier charges, penalties, assessments, fines, remediation costs, investigation costs, and other amounts imposed on or charged to GoFunnel arising from or relating to:
GoFunnel may charge such amounts to your payment method or invoice you for them.
These payment obligations are not subject to the limitation of liability applicable to GoFunnel.
Where permitted by law, GoFunnel may establish a reasonable reserve or security requirement if your account creates material payment, chargeback, regulatory, carrier, or indemnification exposure.
GoFunnel may apply credits, prepaid balances, or other amounts owed to you against amounts you owe GoFunnel, including carrier charges, penalties, indemnification obligations, and unpaid fees.
Except where required by applicable law or expressly agreed in writing, all fees, subscription charges, setup fees, messaging charges, registration charges, prepaid balances, usage charges, and credits are final and non-refundable.
No refund or credit is owed because of:
Any discretionary credit issued by GoFunnel is a courtesy and does not create a right to future credits or refunds.
GoFunnel and its licensors retain all right, title, and interest in and to the Services and all associated intellectual property, including:
Subject to these Terms, GoFunnel grants you a limited, revocable, non-exclusive, non-transferable right to use the Services for your internal business purposes during your authorized subscription period.
No rights are granted except as expressly stated.
If you voluntarily provide ideas, suggestions, recommendations, or other feedback about the Services, you grant GoFunnel a perpetual, irrevocable, worldwide, royalty-free right to use that feedback for any lawful purpose without restriction or compensation.
You may receive non-public information about GoFunnel's technology, pricing, security, operations, roadmap, or business.
You will use reasonable measures to protect such confidential information and will not disclose it except as authorized by GoFunnel or required by law.
This obligation survives termination.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
GOFUNNEL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

GoFunnel may provide templates, warnings, educational information, recommended settings, compliance functionality, campaign tools, consent-management features, artificial-intelligence output, or other assistance.
Such functionality is provided for convenience and does not constitute legal or regulatory advice.
GoFunnel is not your attorney, compliance officer, fiduciary, or professional advisor.
You are responsible for obtaining professional advice where appropriate.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOFUNNEL AND ITS AFFILIATES, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, CARRIERS, TELECOMMUNICATIONS PROVIDERS, AGGREGATORS, ARTIFICIAL-INTELLIGENCE PROVIDERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES.
THIS INCLUDES DAMAGES FOR:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOFUNNEL'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS ACTUALLY PAID BY YOU TO GOFUNNEL DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT FIRST GIVING RISE TO THE CLAIM.
THE LIMITATIONS APPLY REGARDLESS OF THE FORM OR THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED.
You agree to defend, indemnify, and hold harmless GoFunnel and its affiliates, owners, officers, directors, employees, contractors, agents, licensors, carriers, telecommunications providers, aggregators, artificial-intelligence providers, and service providers (collectively, the "GoFunnel Parties") from and against all third-party:

Your indemnification obligations are independent of and are not limited by the limitation of liability applicable to GoFunnel.
GoFunnel may assume control of the defense of an indemnified claim at your expense.
You will reasonably cooperate in the defense.
You may not settle an indemnified claim in a manner that admits wrongdoing by, imposes liability upon, or requires action from a GoFunnel Party without GoFunnel's prior written consent.
This Section survives termination.
You agree that clicking an acceptance checkbox or otherwise electronically accepting these Terms has the same legal effect as a handwritten signature.
GoFunnel may maintain electronic evidence of acceptance consistent with its existing systems and processes.
PLEASE READ THIS SECTION CAREFULLY.
Except for disputes that qualify for small-claims court and requests for temporary, preliminary, or injunctive relief relating to intellectual property, unauthorized access, security, or misuse of the Services, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved through final and binding individual arbitration administered by the American Arbitration Association under its applicable rules.
The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND GOFUNNEL EACH WAIVE THE RIGHT TO A TRIAL BY JURY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND GOFUNNEL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, MASS, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE PROCEEDING.
Unless both parties agree otherwise, an arbitrator may not consolidate the claims of more than one person or entity.
If a court determines that a particular claim cannot lawfully be subject to this class-action waiver or arbitration provision, that claim will proceed in the appropriate court, and the remaining enforceable portions of this Section will remain effective.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except where federal law controls.
For disputes not subject to arbitration, you and GoFunnel consent to the exclusive jurisdiction of the state and federal courts located in Delaware.
To the maximum extent permitted by law, any claim arising out of or relating to these Terms or the Services must be commenced within one (1) year after the claim accrued.
A claim not commenced within that period is permanently barred.
GoFunnel may modify these Terms from time to time.

Your continued use after revised Terms become effective constitutes acceptance to the extent permitted by law.
Changes required by law, carrier policy, security requirements, or third-party provider requirements may take effect sooner where reasonably necessary.
GoFunnel is not liable for delay or failure caused by circumstances beyond its reasonable control, including:
You may not assign or transfer these Terms without GoFunnel's prior written consent.
GoFunnel may assign these Terms to an affiliate or in connection with a financing, merger, acquisition, corporate reorganization, change of control, or sale of assets.
The parties are independent contractors.
Nothing in these Terms creates an employment, agency, partnership, joint venture, fiduciary, franchise, or similar relationship.
If a provision of these Terms is determined to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable where legally permitted.
The remaining provisions will continue in effect.
Failure to enforce a provision does not waive the right to enforce that provision later.
These Terms, together with our Privacy Policy, SMS Messaging Compliance Agreement & Attestation, applicable order forms, Data Processing Agreements, and any other written agreement expressly incorporated by reference, constitute the agreement between you and GoFunnel concerning the Services.
A separately executed written agreement signed by GoFunnel controls over these Terms to the extent it expressly states that it supersedes a provision of these Terms.
